Master Services Agreement

Terms & Conditions

Effective Date: September 1, 2026

These Terms and Conditions ("Agreement") constitute a legally binding contract between you (the "Client" or "User") and Global Enterprises ("Company", "we", "us"), governing the procurement, licensing, and utilization of our proprietary hardware, FMS Smart Mobility software platforms, and related professional services within the Sultanate of Oman.

By executing a purchase order, accessing our digital platforms, or integrating our telematics hardware, you expressly agree to be bound by the stipulations contained herein. If you are accepting these terms on behalf of a corporate entity, you represent and warrant that you possess the requisite authority to bind said entity to this Agreement.

1. Software Licensing & Intellectual Property

Global Enterprises, in conjunction with its parent entity FMS Tech, retains absolute ownership and intellectual property rights over all software architectures, algorithms, hardware designs, and platform interfaces. Clients are granted a non-exclusive, non-transferable, revocable license to access the FMS Smart Mobility platform strictly for internal fleet management operations during the active subscription term.

  • Reverse engineering, decompiling, or disassembling of any hardware or software component is strictly prohibited.
  • Sub-licensing, reselling, or commercially exploiting the telemetry data platform to unauthorized third parties constitutes a material breach of this Agreement.

2. Hardware Operations and OPAL Compliance

Our In-Vehicle Monitoring Systems (IVMS), Multi-Speed Limiters (MSL), and Driver Fatigue Monitoring Systems (DFMS) are certified to meet the rigorous standards established by the Oman Society for Petroleum Services (OPAL) and major concession operators (e.g., PDO).

  • The Client is solely responsible for ensuring vehicles are made available for scheduled maintenance and calibration to maintain OPAL certification validity.
  • Tampering, physical bypass, or unauthorized reconfiguration of hardware units by uncertified technicians immediately voids all warranties and compliance certifications.

3. Service Level Agreements (SLAs) and Telemetry Uptime

We strive to maintain a 99.9% uptime for cloud analytics processing. However, real-time telematics heavily depends on third-party cellular networks (GSM/LTE) and global navigation satellite systems (GNSS). Global Enterprises cannot be held liable for temporary data transmission latency, signal degradation in deep desert concession areas, or systemic outages caused by national telecommunications providers.

4. Limitation of Liability and Indemnification

To the maximum extent permitted by applicable Omani law, Global Enterprises shall not be liable for any indirect, consequential, incidental, or punitive damages—including but not limited to loss of profits, operational downtime, or vehicular damage—arising from the use or inability to use our systems.

Our cumulative liability under this Agreement, regardless of the nature of the claim, shall not exceed the total fees paid by the Client to Global Enterprises for the specific hardware or software service in the twelve (12) months preceding the incident giving rise to the claim.

5. Governing Law and Dispute Resolution

This Agreement, and any disputes arising directly or indirectly hereunder, shall be governed by and construed in accordance with the laws of the Sultanate of Oman. Any unresolvable disputes shall be subject to the exclusive jurisdiction of the competent courts located in Muscat.

6. Modifications to Terms

Global Enterprises reserves the unilateral right to amend these Terms and Conditions at our discretion to reflect legislative changes, technological advancements, or operational restructurings. Continued utilization of our services following formal notification of amendments constitutes binding acceptance of the revised Agreement.
